By accessing, registering for, or using any Synorex services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

By using Synorex’s services, you agree to comply with and be legally bound by these Terms, together with any policies referenced herein, including but not limited to our Privacy Policy and Payment Terms.

If you do not agree to these Terms, you must not access or use the services.

“Service(s)” means all software, SaaS platforms, AI tools, APIs, dashboards, websites, and related services provided by Synorex.

“User” / “Customer” means any individual or entity that accesses or uses the Services.

“Account” means a registered user account created to access the Services.

“Content” means data, text, files, information, or materials submitted or generated through the Services.

“Subscription” means any paid or free plan offered by Synorex.

3. Scope of Service

Synorex provides cloud-based software and technology solutions, including but not limited to:

• Business management systems
• AI-powered tools and automation
• Data management and analytics platforms
• Industry-specific SaaS solutions
• The exact features and scope depend on the subscribed plan and may change over time.

4. Account & Access Rules

You must provide accurate and complete registration information.

You are responsible for maintaining the confidentiality of your account credentials.

You are responsible for all activities conducted under your account.

You may not share, resell, or transfer account access without written permission from Synorex.

Synorex reserves the right to suspend or terminate accounts that violate these rules.

5. Subscription & Fees

All subscriptions, pricing, billing cycles, renewals, refunds, and payment obligations are governed by our Payment Terms, which form part of these Terms by reference.

Failure to make timely payments may result in service suspension or termination.

6. Data Ownership & Privacy

You retain ownership of your data submitted to the Services.

Synorex may process, store, and use data solely for providing and improving the Services.

Data handling practices are governed by our Privacy Policy, which is incorporated into these Terms by reference.

You are responsible for ensuring you have the legal right to upload and process any data.

7. Intellectual Property

All software, source code, system architecture, AI models, workflows, designs, documentation, and proprietary technology belong exclusively to Synorex.

No ownership rights are transferred to you, except for a limited, non-exclusive, non-transferable right to use the Services during your subscription.

You may not copy, reverse engineer, modify, or create derivative works without written consent.

8. Acceptable Use / Prohibited Actions

You agree not to:

• Use the Services for illegal, fraudulent, or unauthorized purposes
• Upload malicious code, viruses, or harmful content
• Attempt to bypass security or access restricted systems
• Infringe intellectual property or privacy rights
• Resell, sublicense, or exploit the Services without permission
• Synorex may suspend access immediately upon detecting prohibited use.

9. Service Availability & Maintenance

Services are provided on an “as available” basis.

Scheduled maintenance, upgrades, or emergency fixes may occur without prior notice.

Synorex does not guarantee uninterrupted or error-free service.

10. Support

Basic support is provided according to the subscribed plan.

Support channels, response times, and scope may vary.

Advanced, customized, or on-site support may require separate agreements.

11. Termination & Suspension

Synorex may suspend or terminate your access if:

• You breach these Terms
• Payments are overdue
• Required by law or regulatory authorities
• Continued use poses security or legal risks
• Upon termination, access to the Services may be revoked, and data may be deleted according to our data retention policies.

12. Disclaimers

The Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

13. Limitation of Liability

To the maximum extent permitted by law:

• Synorex shall not be liable for indirect, incidental, special, or consequential damages.
• Synorex’s total liability shall not exceed the total fees paid by you in the preceding twelve (12) months.

14. Indemnity

You agree to indemnify and hold harmless Synorex from any claims, damages, losses, or liabilities arising from:

• Your misuse of the Services
• Violation of these Terms
• Violation of applicable laws or third-party rights

15. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Malaysia.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.

16. Amendments to Terms

Synorex may update these Terms from time to time.

Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
